On May 8, 2012, the Board of Directors of Silicon Graphics International Corp. ("SGI") amended the Code of Business Conduct and Ethics ("Code") to reflect the following changes:

  • Streamlining the Code and increasing access and readability by minimizing the use of legal jargon while remaining consistent with legal obligations.
  • Updating provisions to clarify that the Code is applicable worldwide.
  • Identifying SGI"s General Counsel and General Counsel"s office as the main administrator of the Code.
  • Providing that suspected violations of the Code can be reported to the employee"s supervisor, SGI"s General Counsel, SGI"s telephone hotline (Integrity Hotline), SGI"s online reporting system (Alertline) or to SGI"s Audit Committee.
  • Providing that conflicts of interests must be disclosed to and authorized by SGI"s General Counsel.
  • Adding new provisions regarding related person transactions and corporate opportunities.
  • Reflecting recently approved and/or amended policies and providing links to such policies within the Code for easier employee access.
  • Incorporating an "Acknowledgment of Compliance" certification at the end of the Code to be signed by all new employees.
